Please read these terms carefully before using our manufacturing services, ODM/OEM solutions, and purchasing products from Nanjing Berno Electric Co., Ltd.

01 Acceptance of Terms
Welcome to Nanjing Berno Electric Co., Ltd. ("Company", "we", "us", or "our"). By accessing our website, requesting quotes, or placing orders for our electric heating materials, temperature control equipment, and current protection devices, you agree to be bound by these Terms of Service ("Terms").
These Terms apply to all B2B transactions, including wholesale purchases, ODM/OEM customization services, and technical consultations. If you do not agree with any part of these terms, you may not use our services.
02 Scope of Products & Services
We specialize in the research, development, and manufacturing of components for industrial, agricultural, transportation, and aerospace applications. Our core offerings include:
- Electric Heating Materials: Industrial heating elements, PTC heaters, and special aerospace heating solutions.
- Temperature Control: Intelligent control systems, NTC sensors, and thermostats (KSD series).
- Current Protection: Circuit breakers, fuses, and customized protection devices.
Note: Product specifications provided on the website are for reference. Final technical parameters are subject to the specific datasheet or contract confirmed during the ordering process.
03 Orders & Contractual Obligations
As a B2B manufacturer, we operate primarily on a contract basis. The order process is as follows:
- Inquiry & Quotation: Customer submits technical requirements; we provide a formal quotation valid for 30 days unless stated otherwise.
- Sample Verification: For customized products, samples must be approved by the customer before mass production.
- Purchase Order (PO): Customer issues a PO referencing the approved quotation/sample.
- Proforma Invoice (PI): We issue a PI confirming the order details, lead time, and payment terms.
An order is considered binding only after the Proforma Invoice is signed/stamped by both parties and the deposit is received.
04 ODM/OEM & Intellectual Property
Customization Services
We provide full-process ODM/OEM services ranging from structural design to performance tuning. Customers must provide accurate technical drawings or parameters. We are not responsible for failures resulting from incorrect specifications provided by the customer.
Intellectual Property Rights
- Customer IP: Any designs, logos, or proprietary technology provided by the customer for OEM production remain the sole property of the customer. We agree to keep such information confidential.
- Company IP: Any improvements, manufacturing processes, or background technology developed by Nanjing Berno Electric Co., Ltd. remain our property unless explicitly transferred via a separate written agreement.
05 Payment, Shipping & Risk
Payment Terms
Standard terms are T/T (Telegraphic Transfer). A deposit is required to initiate production, with the balance due before shipment or against the Bill of Lading (B/L), depending on the agreed incoterms. L/C (Letter of Credit) may be accepted for large volume orders upon review.
Delivery & Incoterms
We support EXW, FOB, CIF, and DDP terms. Delivery times are estimates based on current production capacity. Risk of loss or damage to goods passes to the customer in accordance with the specific Incoterm (Incoterms 2020) selected for the transaction.
06 Warranty & Limitation of Liability
We warrant that our products will be free from defects in material and workmanship under normal use for a period of 12 months from the date of shipment, unless a different period is specified in the contract.
Exclusions: This warranty does not cover damage resulting from:
- Improper installation or misuse.
- Operation outside specified electrical or thermal ratings.
- Unauthorized modification or repair.
- Force majeure events.
Limitation of Liability: To the maximum extent permitted by law, Nanjing Berno Electric Co., Ltd. shall not be liable for any indirect, incidental, or consequential damages (including loss of profits or production downtime) arising from the use or inability to use our products.
